Shemana Affiliate Program

1. Program Overview

The Shemana Affiliate Program is operated by Shemana Pty Ltd (“Shemana,” “we,” “us”). The Program includes Affiliate, Practitioner Partner and invite-only Ambassador participation. Participation is subject to these Terms and Conditions.

2. Eligibility

Participants must apply via the relevant registration form and be approved by Shemana. Approval is at Shemana's discretion. Shemana may decline or remove any applicant without obligation to provide reasons.

3. Program Tracks

3.1 Affiliate — for content creators, influencers and educators promoting Shemana to their audience.

3.2 Practitioner Partner — for beauty and wellness professionals who use and recommend Shemana products in a professional capacity.

3.3 Ambassador — an invite-only status. There is no application process. Shemana may invite participants into Ambassador status based on content quality, brand alignment and consistent performance. No participant is entitled to Ambassador status by tenure or volume alone.

4. Commission & Discount Rates

4.1 Affiliate — Affiliates earn 10% commission on eligible referred sales. Commission is paid via PayPal in accordance with Section 6.

4.2 Practitioner Partner — Practitioner Partners earn 10% commission on eligible referred sales. Commission is paid as Shemana store credit in accordance with Section 6.

4.3 Affiliate audience discount — Affiliates receive a personal referral code offering their audience 15% off eligible purchases.

4.4 Affiliate personal discount — Affiliates receive 20% off their own eligible purchases. Personal purchases do not earn commission.

4.5 Practitioner client discount — Practitioner Partners receive a personal referral code offering their clients 15% off eligible purchases.

4.6 Practitioner personal discount — Practitioner Partners receive 30% off their purchases to be used in their professional practice. Stock purchases do not earn commission.

4.7 Ambassador rewards — Ambassador arrangements are determined individually by Shemana and may include commission, store credit, product or other agreed benefits. No fixed Ambassador rate is published or guaranteed.

4.8 Shemana reserves the right to apply a maximum commission cap per transaction. Any applicable cap will be communicated through the Participant's dashboard or account communication.

5. Attribution & Tracking

5.1 Referrals are tracked via a unique referral link with a 30-day cookie window and a personal referral coupon code. Either mechanism may independently attribute an eligible sale to the Participant.

5.2 A sale may qualify for commission where the customer clicks the Participant's referral link and completes a purchase within the 30-day cookie window, whether or not the coupon code is used, or where the Participant's coupon code is applied at checkout.

5.3 Both tracking mechanisms are not required for a referral to qualify.

5.4 Commission is earned only on completed, eligible orders approved by Shemana. Draft orders, abandoned checkouts, cancelled or refunded orders, chargebacks and ineligible self-orders do not qualify.

6. Commission Payments

6.1 Affiliate — Affiliate commissions are paid via PayPal each Friday once the Affiliate has activated PayPal as their payment method and their approved commission balance has reached the minimum payout threshold of $30.

6.2 Where an Affiliate's approved commission balance is below $30, it will carry forward until the $30 minimum is reached and will then be included in the next applicable weekly payout.

6.3 Affiliates are responsible for providing and maintaining accurate PayPal payment details. Commission will remain unpaid until a valid PayPal payment method has been activated.

6.4 Practitioner Partner — Practitioner commissions are paid as Shemana store credit following referral approval. There is no minimum payout threshold and store credit is not redeemable for cash.

7. Self-Orders, Fraud & Misuse

7.1 Orders placed by a Participant using their own referral link or referral coupon code do not earn commission.

7.2 Misuse includes, without limitation, fraudulent referrals, incentivised or fake transactions, misrepresentation of Shemana or its products, and attempts to circumvent the self-order restriction above.

7.3 Shemana may suspend or terminate a Participant's account immediately on reasonable suspicion of misuse and may withhold or reclaim commission connected to it.

8. Commission Reversals

Shemana may deduct, reverse or reclaim commission already paid or credited where the underlying order is refunded, cancelled, charged back, or later found to breach these Terms.

9. Gifted Product & Content Usage

9.1 Gifted product — Product provided to a Participant as part of the Program is provided in exchange for the Participant creating and/or sharing content featuring Shemana with their audience. The gifted product constitutes the agreed compensation for this content. No additional content fee is payable unless separately agreed with Shemana.

9.2 Organic usage — By participating in the Program, the Participant grants Shemana permission to repost and use Program-related content they create on Shemana's owned organic channels, including Shemana's social media, website and email marketing, at no additional fee.

9.3 Paid usage — Shemana may use a Participant's content in paid advertising from Shemana's own advertising accounts. Where this content runs as an isolated advertisement or ad set, Shemana will pay the Participant 10% of net revenue generated, calculated as the advertisement's attributed sales revenue according to the advertising platform's reporting, less the media spend used to generate it. This is separate from any standard commission earned through the Participant's referral link or coupon code.

9.4 Whitelisting / Partnership Ads — Running advertising directly from a Participant's own social account, including Meta Partnership Ads or TikTok Spark Ads, requires the Participant's explicit account-level authorisation and is available to Ambassador Participants only. Rates, duration and access terms are agreed individually based on the arrangement.

10. Term & Termination

10.1 Either party may end participation in the Program at any time. Participants may withdraw by notifying Shemana. Shemana may terminate participation immediately in cases of breach or misuse.

10.2 Commission properly earned before termination remains payable, except where Section 8 applies.

10.3 On termination, the Participant must stop using their referral link, coupon code and any Shemana marketing assets provided through the Program.

11. Changes to the Program

Shemana may amend these Terms, commission rates, discounts or Program structure at any time. Material changes will be communicated to active Participants. Continued participation following notification of a change constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia.
